Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and AutX Tech ("ClipRon by AutX Tech", "we", "us", "our"), governing your access to and use of the ClipRon by AutX Techplatform, website (clipron.com), APIs, and all related services (collectively, "Services").

Our Privacy Policy is incorporated into these Terms by reference and forms part of this agreement.

• "Platform" — The ClipRon by AutX Tech website, web application, APIs, and all associated software operated by AutX Tech
• "Business User"— A user with the "Business" account type who creates campaigns, posts tasks, funds escrow, and reviews content submissions
• "Clipper"— A user with the "Job" account type who discovers tasks, submits content links, and earns rewards upon task approval
• "Campaign" — A project created by a Business User with defined goals, budget, and one or more Tasks
• "Task" — A specific deliverable within a Campaign (e.g., create and post a Reel, achieve X views)
• "Submission" — Content (typically a URL to an Instagram Reel or other social media content) submitted by a Clipper to fulfil a Task
• "Escrow" — Funds deposited by a Business User and held by ClipRon by AutX Tech to guarantee payment to Clippers upon task completion and approval
• "Wallet"— A user's in-platform balance account for managing funds, escrow, and payouts
• "ClipTagram" — ClipRon by AutX Tech's creator analytics profile feature that displays Instagram performance metrics and engagement scores
• "Workspace" — A verified branded entity associated with a Business User account

3.1 Eligibility

• You must be at least 18 years of age to use ClipRon by AutX Tech
• You must be legally capable of entering binding contracts under applicable law
• If registering on behalf of a company, partnership, or other entity, you represent that you have authority to bind that entity to these Terms
• You must not be barred from using our Services under any applicable law or under our prior termination actions

3.2 Account Registration

• You must provide accurate, current, and complete information during registration and keep it up-to-date
• You are responsible for maintaining the confidentiality of your login credentials. You must not share your account with anyone.
• You are responsible for all activity that occurs under your account, whether or not authorised by you
• You must notify us immediately at legal@clipron.com if you become aware of any unauthorised access to your account
• We reserve the right to refuse registration or cancel accounts at our sole discretion

3.3 One Account Per User

Each individual may maintain only one ClipRon by AutX Tech account. Operating multiple accounts to circumvent bans, artificially inflate metrics, or gain unfair advantages is strictly prohibited and grounds for permanent termination.

4.1 Business Users

Business Users are responsible for:

• Providing accurate and lawful campaign briefs and requirements
• Funding escrow before tasks are made available to Clippers — unfunded tasks cannot be assigned
• Reviewing and approving/rejecting Clipper submissions in good faith and within the stated review period. Failure to review within 14 days of submission results in automatic approval and payout release.
• Ensuring campaigns comply with all applicable laws, including advertising standards
• Not conducting any form of discrimination against Clippers based on protected characteristics

4.2 Clippers

Clippers are responsible for:

• Submitting only original or properly licensed content
• Accurately representing task completion — submitting fake metrics or fraudulent links is prohibited
• Complying with the specific requirements set out in each task brief
• Disclosing brand partnerships as required by advertising regulations (ASA, ASCI, FTC, etc.)
• Maintaining accurate payout details for disbursements

5.1 Campaign Creation

Business Users may create campaigns by providing a title, description, goals, budget, and deadline. By creating a campaign, you represent that:

• The campaign content and goals are lawful in the jurisdiction where it will be distributed
• You own or have licensed any campaign assets (brand logos, product images, scripts)
• The campaign does not require Clippers to produce content that is defamatory, deceptive, discriminatory, or violates any law

5.2 Task Assignment & Completion

• Tasks can be applied for by Clippers or assigned directly by Business Users
• A task is deemed "complete" when the Business User approves the submission, or the 14-day auto-approval period elapses without review
• Business Users may reject a submission only for legitimate non-compliance with the stated brief. Rejection must be accompanied by a written reason within the platform.
• Disputes regarding approvals/rejections are subject to ClipRon by AutX Tech's dispute resolution process (Section 13)

5.3 ClipRon by AutX Tech Role

ClipRon by AutX Tech acts as a technology platform and escrow intermediary. We are not a party to the underlying service contract between Business Users and Clippers. We do not guarantee the quality of campaign results, task outcomes, or Clipper performance beyond the agreed submission criteria.

6.1 Escrow Model

ClipRon by AutX Tech operates a 100% pre-funded escrow model:

1. Business Users deposit funds into their ClipRon by AutX Tech Wallet via supported payment methods (UPI, credit/debit card, net banking via Cashfree)
2. When a task is activated, the task reward amount is locked in escrow — these funds are no longer freely withdrawable by the Business User
3. Upon task approval (or auto-approval), the escrowed amount is released to the Clipper's Wallet, minus the platform commission
4. Clippers may then withdraw their Wallet balance to their registered bank account or UPI ID via Cashfree payouts

6.2 Platform Commission

ClipRon by AutX Techcharges a service fee on each completed task. The current commission rate is displayed in the pricing section and campaign creation flow. We reserve the right to update commission rates with 30 days' prior notice.

6.3 Refunds & Cancellations

• Pre-assignment cancellation:If a task is cancelled before assignment to a Clipper, the escrowed amount is returned to the Business User's Wallet in full
• Post-assignment cancellation: Once a Clipper has been assigned, cancellation requires mutual agreement. If the Clipper has already submitted work, partial payment may apply.
• Platform fees: Our service commission is non-refundable once a task is marked complete and the payout is processed
• Wallet withdrawals: Wallet balance withdrawals cannot be reversed once processed by Cashfree
• Gateway charges: Payment gateway transaction fees charged by Cashfree are non-refundable

6.4 Taxes

You are solely responsible for determining and remitting any applicable taxes (including GST, TDS, income tax) on payments received through ClipRon by AutX Tech. We may issue TDS certificates (Form 16A) as required under Indian income tax law. We strongly recommend consulting a tax professional.ClipRon by AutX Tech is not a tax advisor.

6.5 Payout Processing Times

Payout processing times depend on Cashfree's settlement schedules and your bank's processing times. Typical UPI instant payouts complete within minutes; NEFT/IMPS may take up to 2 business days. ClipRon by AutX Tech is not liable for delays caused by Cashfree or banking systems.

6.6 Failed Payouts

If a payout fails (e.g., due to incorrect bank details), the amount is returned to your Wallet. You are responsible for maintaining accurate payout details. ClipRon by AutX Tech is not liable for funds sent to incorrect bank accounts due to user-provided incorrect details.

7.1 Your Content

You retain ownership of all original content you create and submit through ClipRon by AutX Tech(campaign briefs, submission videos, profile information). By submitting content to ClipRon by AutX Tech, you grant us a non-exclusive, worldwide, royalty-free licence to:

• Display your content within the platform to relevant users
• Store and process your content to provide the Services
• Use anonymised, aggregate content data for platform analytics and improvement

This licence terminates when you delete the content or close your account, subject to retention obligations.

7.2 Business User Content Licence to Clippers

When a Business User creates a campaign, they grant participating Clippers a limited, non-exclusive licence to use provided campaign assets (brand logos, product images, scripts) solely for the purpose of fulfilling the specific task. This licence does not extend to third-party use, resale, or commercial exploitation beyond the task deliverable.

7.3 Platform IP

All ClipRon by AutX Techplatform technology, design, trademarks, logos ("ClipRon", "ClipTagram"), and proprietary algorithms are owned by AutX Tech. You may not copy, reproduce, reverse engineer, or create derivative works of any platform technology without our prior written consent.

7.4 DMCA Safe Harbor

ClipRon by AutX Tech respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA) and its Indian equivalents under the Copyright Act, 1957. If you believe content on our platform infringes your copyright, send a DMCA notice to legal@clipron.com with the subject line "DMCA Notice", including: your contact information, identification of the copyrighted work, and identification of the infringing material.

7.5 Prohibited Content

You must not submit, post, or facilitate content that:

• Is defamatory, obscene, pornographic, or violates any person's dignity
• Infringes any copyright, trademark, or other intellectual property right
• Contains malware, phishing links, or malicious code
• Promotes violence, self-harm, terrorism, or illegal activities
• Violates any applicable Indian law (IT Act, IPC) or international law

8.1 Instagram Professional Account Connection

ClipRon by AutX Tech integrates with the Meta (Facebook/Instagram) Graph API to provide analytics features (ClipTagram). By connecting your Instagram Professional Account, you:

• Authorise ClipRon by AutX Tech to access your Instagram account data as described in our Privacy Policy (Section 3)
• Confirm that you are the authorised owner of the connected Instagram Professional Account
• Agree that your use of Instagram data within ClipRon by AutX Techcomplies with Meta's Terms of Service and Platform Policies

8.2 No Guarantee of API Availability

Instagram's API is provided by Meta and may be changed, restricted, or discontinued at any time without notice. ClipRon by AutX Techdoes not guarantee uninterrupted access to Instagram analytics features and is not liable for service disruptions resulting from Meta's API changes.

8.3 Your Obligations

When submitting Instagram Reels or other content URLs as task submissions, you represent that:

• The content was created by you or you have full rights to the submitted content
• The content complies with Instagram's Community Guidelines and Terms of Use
• The metrics reported are genuine and not artificially inflated (no bots, purchased engagement)
• You have made the required advertising disclosures (hashtags like #ad, #sponsored) as required by ASCI guidelines in India and applicable regulations

8.4 Artificial Engagement Strictly Prohibited

You agree not to:

• Impersonate any person, business, or entity, or misrepresent your affiliation
• Harass, abuse, or threaten other users, our staff, or any third party through or in connection with our platform
• Engage in fraudulent activity, including fake submissions, false metric claims, double-billing, or unauthorised chargebacks
• Circumvent payment obligations by attempting to transact with other users outside the ClipRon by AutX Tech platform after initial contact through us
• Scrape, crawl, or harvest data from ClipRon by AutX Tech using automated means without our prior written consent
• Reverse engineer or attempt to extract source code from ClipRon by AutX Tech
• Probe, scan, or test vulnerabilities of our systems without authorisation
• Use the platform for money laundering, financing of illegal activities, or circumvention of AML regulations
• Create misleading campaigns that are designed to deceive end consumers
• Use ClipRon by AutX Tech to promote products or services that are illegal under Indian law (e.g., certain pharmaceuticals, regulated financial products without proper licencing)

10.1 "As Is" Service

ClipRon by AutX Techis provided on an "as is" and "as available" basis without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

10.2 No Guarantee of Results

We do not guarantee that campaigns will achieve specific reach, views, or business outcomes. We do not guarantee that Clippers will earn any specific income. Past performance of any campaign or Clipper is not indicative of future results.

10.3 Third-Party Platforms

Content distributed on Instagram, YouTube, or other social media platforms is subject to those platforms' own terms, content policies, and algorithms. ClipRon by AutX Tech has no control over and is not liable for actions taken by Instagram/Meta or other platforms (e.g., removing content, account restrictions, reach suppression).

10.4 Limitation of Liability

To the maximum extent permitted by applicable law, AutX Tech and its officers, directors, employees, and agents shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your reliance on any content or data on the platform
• Service interruptions, data loss, or security breaches caused by third parties

Our total aggregate liability to you for any claims arising from your use of ClipRon by AutX Tech shall not exceed the greater of: (a) the total fees paid by you to ClipRon by AutX Tech in the 12 months preceding the claim; or (b) ₹10,000 (Indian Rupees Ten Thousand).

Nothing in these Terms limits liability that cannot be excluded under applicable Indian consumer protection or other mandatory law.

10.5 Uptime & Availability

We strive for high availability but do not guarantee 100% uptime. Scheduled maintenance, emergency patches, and third-party infrastructure failures may cause temporary unavailability. We are not liable for losses caused by platform downtime.

You agree to indemnify, defend, and hold harmless AutX Tech and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your use of ClipRon by AutX Tech in violation of these Terms
• Content you submit, post, or transmit through ClipRon by AutX Tech
• Your violation of any law or third-party rights (including IP rights)
• Any campaign, task, or content you create, assign, or approve through the platform that causes harm to a third party
• Your fraudulent conduct or wilful misconduct

We reserve the right, at our expense, to assume exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defence.

12.1 Termination by You

You may terminate your account at any time from Account Settings (/account). Upon termination:

• Any active campaigns and escrowed funds will be reviewed and settled according to task status
• Any Wallet balance remaining after settling active obligations will be refunded to you within 14 business days, subject to KYC and minimum withdrawal requirements
• Your personal data will be deleted as described in our Privacy Policy

12.2 Termination / Suspension by ClipRon by AutX Tech

We may suspend or terminate your account immediately, without prior notice, if:

• You breach any provision of these Terms
• We suspect fraudulent, abusive, or illegal activity
• We receive a valid legal order requiring suspension or disclosure
• Your account has been inactive for more than 24 months

For serious violations (fraud, fake engagement, harassment), account termination is immediate and may include forfeiture of Wallet balance in cases where the balance arose from fraudulent activity.

12.3 Effect of Termination

Sections of these Terms that by their nature should survive termination (including IP ownership, limitation of liability, indemnification, and governing law) will continue to apply.

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The courts of Mumbai, Maharashtra shall have exclusive jurisdiction to settle any disputes arising out of or in connection with these Terms, subject to the arbitration provision below.

13.2 Dispute Resolution — Informal First

Before initiating any formal legal proceedings, you agree to attempt to resolve the dispute with us informally. Please email legal@clipron.com with a detailed description of the dispute. We will attempt to resolve it within 30 days.

13.3 Arbitration

If informal resolution fails, disputes (other than those involving intellectual property rights or seeking emergency injunctive relief) shall be finally settled by binding arbitration under the Arbitration and Conciliation Act, 1996 (India), as amended. The arbitration shall be conducted:

• By a sole arbitrator mutually appointed, or appointed by the High Court of Bombay if parties cannot agree
• In the English language
• In Mumbai, Maharashtra
• The arbitrator's award shall be final and binding on both parties

13.4 Platform Dispute Process

For task-level disputes between Business Users and Clippers (approval/rejection disputes),ClipRon by AutX Tech offers a mediation service. Either party may raise a dispute flag within 7 days of a rejection decision. Our team will review the evidence (task brief, submission, communication logs) and issue a binding platform ruling within 10 business days. The platform ruling does not preclude legal recourse but is a condition precedent to formal arbitration.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting updated Terms with a new effective date
• Sending an email notification to registered users
• Displaying an in-platform banner for a minimum of 14 days before the changes take effect

Your continued use of ClipRon by AutX Techafter the updated Terms' effective date constitutes acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the platform and may terminate your account.

Minor changes (typos, formatting, clarifications that do not materially alter rights) may be made without notice.
